1. Acceptance of Terms

By accessing or using CastControl, you agree to be bound by these Terms. If you are using CastControl on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the App.

2. Description of Service

CastControl is a venue control automation application that enables monitoring, management, and automation of technology systems within professional sports and entertainment venues. Features may include device control, status monitoring, event scheduling, automation workflows, and system integration capabilities.

3. User Accounts

Access to CastControl may require an account provisioned by your organization's administrator or directly by Mediacast. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use CastControl only for its intended purpose and in compliance with all applicable laws and regulations. You agree not to:

• Attempt to gain unauthorized access to systems, networks, or data beyond your authorized scope
• Reverse engineer, decompile, or disassemble any part of the App
• Use the App to interfere with or disrupt venue operations, safety systems, or third-party services
• Transmit malicious code, exploit vulnerabilities, or conduct security attacks against the App or connected systems
• Sublicense, resell, or redistribute access to the App without written authorization
• Use the App in any manner that could damage, disable, or impair its functionality

5. Intellectual Property

CastControl, including its design, code, features, documentation, and branding, is the property of Mediacast Network Solutions, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the App for its intended purpose. No ownership rights are transferred to you.

SMS / Mobile Messaging Terms

If you opt in to our SMS messaging service, the following terms apply:

• The service provides two-way text messaging between you and our messaging system.
• Message frequency varies based on your interaction with the service.
• Message and Data Rates May Apply. Standard rates from your mobile carrier may apply to messages you send and receive.
• You may opt out at any time by replying STOP to any message. You will receive one final confirmation message and no further messages will be sent from this number.
• Reply HELP at any time to receive assistance information.
• Supported on AT&T, T-Mobile, Verizon, and most other major U.S. carriers. Service may not be available on all carriers.
• We are not liable for delayed or undelivered messages.

To stop receiving messages at any time, reply STOP. For help, reply HELP, or contact us through the information in our Privacy Policy.

6. Your Data

You retain ownership of any data you or your organization submit to CastControl, including configurations, automation rules, and operational data. We process this data on your behalf to provide the service. Our handling of personal information is described in our Privacy Policy.

7. Availability and Support

We strive to maintain the availability and reliability of CastControl but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, and unforeseen circumstances may result in temporary service interruptions. Support terms, if applicable, are defined in your separate service agreement with Mediacast.

8. Disclaimers

CastControl is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Mediacast does not warrant that the App will meet your specific requirements, operate without interruption, or be free of errors or defects.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Mediacast shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, profits, or business opportunity, arising out of or in connection with your use of CastControl, whether based on warranty, contract, tort, or any other legal theory, even if Mediacast has been advised of the possibility of such damages.

In no event shall Mediacast's total cumulative liability exceed the amount you paid, if any, for access to CastControl during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Mediacast, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of CastControl, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to CastControl at any time, with or without cause, upon notice. Your organization's administrator may also revoke your access. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Philadelphia, Pennsylvania.

13. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the effective date at the top of this page. Continued use of CastControl after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should discontinue use of the App.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
